Terms of Service

1. What this covers

These terms govern your use of Goat Studio, a done-for-you content service operated by Puya Ventures LLC (“Goat Studio”, “we”, “us”). By engaging us — signing a proposal, submitting a lead form, or making any payment — you agree to these terms.

2. Service scope

Goat Studio provides a managed short-form video content service. We:

• Audit your source data and identify content angles.
• Produce short-form video using a scoring engine (22 scorers: 15 QA gates that can block publish, 7 performance predictors that are advisory only). This count is generated from the live scoring registry, not a fixed figure — see §5 below for how approval, autonomy, and gates work.
• Submit content for your approval before publishing, unless you have explicitly turned on autopilot for a channel (see §4).
• Publish approved (or, if autopilot is enabled, autopilot-cleared) content to your designated social channels.
• Report on performance metrics against agreed cadences.

Specific deliverables, timelines, and scope are defined in the written proposal or statement of work for each engagement. These terms govern where that document is silent.

3. Your data and channels

You retain ownership of all data you provide to us and all social channels you authorise us to publish to. You grant us a limited, revocable licence to use your data and credentials solely for the purpose of delivering the agreed service. We will not use your data for any other purpose. On engagement end or written request, we will delete all your data and return or destroy credentials.

4. Content approval

By default, we submit every piece of content to you for approval before it is published to any live channel, and we will not publish without that explicit approval. By connecting a social media account (including Instagram or TikTok) and approving a post, you grant Goat Studio permission to publish that content to your connected account on your instruction and approval. You may revoke this permission at any time by disconnecting the account in Settings — see our Data Deletion Instructions.

Autopilot is opt-in and off by default. A channel setting lets you switch a channel from “approve every post” to “autopilot”, where posts that clear the QA gate (§5) publish without a per-post human click. Turning this on is a deliberate account-level choice you make in Settings, not something we do on your behalf, and you can turn it back to approval-required at any time. As of this version, autopilot publishing is disabled platform-wide by an operator-controlled kill switch regardless of your channel setting; we will announce here before that changes.

5. AI-generated content

The Goat Studio pipeline uses large language models (Anthropic Claude, OpenAI, Google Gemini) for script generation, scoring, and holistic video review; ElevenLabs, Suno, and fal.ai-hosted generation models for voiceover, music, image, and video synthesis. The full list of active vendors is in our Privacy Policy. All AI-generated content passes through the QA gate — the 15 scorers that check for defects, factual hallucination, brand safety, and cultural sensitivity — before it reaches you for approval. Content that fails a safety-critical check (brand safety, cultural sensitivity) cannot be published under any configuration: those checks are not overridable. A separate operator-only override mechanism exists for non-safety QA failures (e.g. a borderline hook score) but is disabled platform-wide by default and, when it is enabled for a specific case, requires a documented reason and leaves an audit trail. It has never bypassed a safety-critical failure. You acknowledge that AI-generated content is involved and take responsibility for reviewing and approving it before publication.

6. No performance guarantee

We score every video before it ships and report on real performance data. We do not guarantee any specific reach, views, follower count, or revenue outcome. The scoring system measures quality dimensions that are associated with performance — it does not guarantee performance. Any language on the site describing past results (Goat Music channel) describes that specific engagement and is not a promise of future results.

7. Payment and cancellation

Payment terms are set in your written proposal. Monthly engagements require 30 days’ written notice to cancel. One-time engagements (Audit, Pilot) are non-refundable once work has commenced. If we fail to deliver the agreed scope, we will work with you on a pro-rated refund.

8. Liability cap

To the maximum extent permitted by applicable law, our total liability to you for any claim arising from or related to the service is limited to the total fees paid to us in the three months prior to the event giving rise to the claim. We are not liable for any indirect, incidental, or consequential damages.

9. Confidentiality

Both parties will keep the other’s confidential business information (including your data, our pricing, and methods) strictly confidential and will not disclose it to third parties without written consent, except as required by law.

10. Governing law

These terms are governed by the laws of the State of New York. Any dispute will be resolved exclusively in the courts of New York County, New York, or by binding arbitration if both parties agree in writing.

11. Changes

We may update these terms at any time. The effective date above will reflect the most recent version. Continued use of the service after changes constitutes acceptance. For active engagements, material changes require 30 days’ notice.
